Welcome to MemoryFox. These Terms of Service (“Terms”) govern your access to and use of the MemoryFox website, applications, and services (collectively, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms.
1. Eligibility & Account
You must be at least 14 years of age to use MemoryFox. Users under the age of 14 require the consent of a legal representative as required by the Personal Information Protection Act of the Republic of Korea. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorised use.
2. Your Content
You retain ownership of all content you create, upload, ingest, or store on the Service (“Caches”). You grant MemoryFox a limited, non-exclusive licence to host, process, embed, index, and display your Caches solely for the purpose of operating and improving the Service for you.
- You are solely responsible for the legality of the content you ingest.
- You must hold the necessary rights to any third-party material you forward, paste, or upload.
- We do not claim ownership of your Caches and will not sell your content to third parties.
3. Acceptable Use
You agree not to use the Service to:
- Violate any law, regulation, or third-party right;
- Upload malware, attempt to breach security, or interfere with other users;
- Reverse-engineer the Service or scrape it via automated means outside official APIs;
- Ingest unlawful, harassing, or sexually exploitative content involving minors;
- Resell access to the Service without our written consent.
4. Subscriptions & Billing
Paid plans are billed in U.S. Dollars (USD) on a recurring basis (monthly or annual) until cancelled. Your local bank or card issuer will convert the charge into your local currency (e.g. KRW) at their prevailing rate. By subscribing you authorise us, or our payment processor, to charge your nominated payment method on each renewal date. Prices and limits are set out on our Pricing page.
- Free plan: up to 10 caches per calendar month.
- Monthly plan: $14.99 USD per month, unlimited caches.
- Annual plan: $99.99 USD per year, unlimited caches.
Refunds are governed by our Refund Policy. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
5. AI Features
The Service uses third-party large language models and embedding providers to power semantic search, retrieval-augmented question-answering, and auto-organisation. AI outputs may contain inaccuracies and should not be relied upon as professional advice. You are responsible for verifying any AI-generated response before acting on it.
6. Service Availability
We strive for high availability but do not guarantee that the Service will be uninterrupted or error-free. We may suspend, modify, or discontinue features with reasonable notice where practicable.
7. Termination
You may delete your account at any time. We may suspend or terminate your account if you breach these Terms, fail to pay, or use the Service in a manner that risks harm to MemoryFox or other users. Upon termination, your Caches will be deleted in accordance with our Privacy Policy.
8. Disclaimers & Limitation of Liability
The Service is provided “as is” without warranties of any kind, except those that cannot be excluded under the applicable laws of the Republic of Korea — including the Framework Act on Consumers (소비자기본법) and the Act on the Consumer Protection in Electronic Commerce (전자상거래등에서의 소비자보호에 관한 법률). To the maximum extent permitted by law, MemoryFox's aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the twelve (12) months preceding the claim.
Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy that you may have under Korean consumer protection law or other mandatory law that cannot lawfully be excluded.
9. Governing Law & Jurisdiction
These Terms are governed by the laws of the Republic of Korea. Any dispute arising out of or in connection with these Terms shall be submitted to the Seoul Central District Court (서울중앙지방법원) as the court of first instance, except where applicable consumer law grants you the right to bring proceedings in the courts of your place of residence.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or an in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
